1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Medavse Ltd ("Medavse", "we", "us", or "our"), a company registered in Scotland, United Kingdom, governing your access to and use of the medavse.com website and our AI-powered practice management platform (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Medavse provides an AI-powered practice management platform designed for cash-pay healthcare practices. Our platform includes five integrated AI agents:

• Operations Automation Agent: Automates workflows and eliminates manual work
• Patient Engagement Agent: Personalizes communication and care pathways
• Payments & Financing Agent: Streamlines checkout and optimizes collections
• Growth & Analytics Agent: Provides real-time insights and performance tracking

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or user accounts
• Interfere with or disrupt the Services or servers
• Use the Services for any fraudulent or deceptive purposes
• Reverse engineer, decompile, or disassemble the Services
• Use automated means to access the Services without our permission
• Infringe on any intellectual property rights

6. Intellectual Property

The Services, including all content, features, and functionality, are owned by Medavse and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

You retain all rights to any data you submit through the Services. By submitting data, you grant us a limited license to use, process, and store that data solely to provide the Services to you.

7. Payment Terms

If you subscribe to our paid Services, you agree to pay all applicable fees as described in your subscription agreement. Fees are non-refundable except as required by law or as expressly stated in these Terms.

• All prices are quoted in GBP unless otherwise specified
• We may change our fees upon 30 days' notice
• You are responsible for all taxes associated with your use of the Services
• Failure to pay may result in suspension or termination of your account

8. Data Protection

9. Healthcare Compliance

While our platform is designed to support healthcare practices, you remain solely responsible for ensuring your use of the Services complies with all applicable healthcare laws and regulations, including but not limited to:

10. Disclaimer of Warranties

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDAVSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES.

12. Indemnification

You agree to indemnify, defend, and hold harmless Medavse and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.

13. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Services will immediately cease
• You remain liable for all fees incurred prior to termination
• We may delete your account and data in accordance with our data retention policies

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Scotland and the United Kingdom. Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of Scotland.
